Pre-Registration: What You Need to Prepare
The Law on Commercial Enterprises of 2005 serves as the legal basis for business registration in Cambodia. Registration is primarily conducted through the Ministry of Commerce (MoC) where the agency issues a Certificate of Incorporation to legally signify your business as an entity in Cambodia.
Selecting the Appropriate Business Entity
The first step in the business registration process is to choose the legal entity that would suit your organization. This is crucial because the type of business structure will affect your ownership rights, liability, and tax responsibilities. The most common structures used by foreign investors are:
- Limited Liability Company (LLC): This is the go-to entity, offering protection for the owners’ personal assets. It requires a minimum of two shareholders and a maximum of thirty.
- Single-Member Private LLC: This structure allows a single individual to own the company, while still benefiting from limited liability protection.
- Branch Office: Suitable for a foreign company that wants to conduct commercial, revenue-generating activities as an extension of its parent company.
- Representative Office (Rep Office): Limited to non-commercial activities such as market research, liaison, or promotion. Crucially, a Rep Office cannot generate direct revenue.
Appointing Company Officers and Registered Agent
To start a company in Cambodia, you need to appoint a director and officers to ensure proper corporate governance, legal accountability, and operational transparency. A Registered Agent is also required to receive official government notices and legal documents on behalf of the company.
- Directors: A Private LLC requires a minimum of one director while public limited companies require at least three directors. Directors must be legally competent natural persons at least 18 years old. There are no restrictions on nationality or residency. They are elected by the shareholders through ordinary resolution for a two-year term, which can be renewed.
- Officers (including company secretaries): from 2022, a resident company secretary is mandatory. The company secretary plays a key role in administrative governance, including organizing and maintaining official records such as board meeting minutes and resolutions. This role ensures proper documentation and regulatory compliance.
- Registered Agent: You must appoint a Registered Agent, who must be a legally competent individual and a resident of Cambodia. This agent’s role is to receive official legal and government correspondence on the company’s behalf.
Requirements for Registering a Company in Cambodia
Part of the preparation when starting a company in Cambodia is to meet capital requirements and prepare documentation for registration. Here are requirements you need to meet:
- Articles of Incorporation in both Khmer and English outlining company structure, objectives, and shareholding.

How to Register your Company in Cambodia
To streamline business registration in Cambodia, the Ministry of Commerce launched CamDX (Cambodia Data Exchange) in 2020. It functions as a single portal for registering with multiple government agencies in Cambodia including the MoC, General Department of Taxation (GDT), and the Ministry of Labour and Vocational Training (MLVT).
With CamDX, you can obtain a Certificate of Incorporation online. Here is the process:
- Create a User Account: Create a user account on the CamDX system under the Ministry of Economy and Finance (MEF).
- Reserve a Company Name: With the right company structure, you need to reserve a company name in Khmer and in English (optional). The name reservation is typically valid for two weeks. Your business name should be unique, non-offensive, and comply with Cambodian naming regulations.
- Application & Activity Registration: Along with the business name, you must also register your company’s business activities using the Standard Industrial Classification (SIC) codes.
- Fee Payment: Pay the centralized registration fee, currently set at approximately KHR 2,155,000 (~USD 540). Payment can be made online via ABA Pay or credit/debit card.
- Document Upload: Upload the required supporting documents such as the Articles of Incorporation (Khmer/English), valid IDs/passports and recent photos of officers, and the lease agreement/land title.
- MoC Approval: After approval, the MoC will issue a Certificate of Incorporation within 8-10 working days, though the overall process can take up to 2-3 weeks.

Tax Registration and Corporate Banking
Perhaps the most crucial post-registration compliance for new companies in Cambodia is tax registration and opening a bank account. As a business entity, you need to have a platform to manage and report your finances. Having a bank account linked to a registered tax number also allows you to participate in a formal economy such as applying for loans or other banking services.
- Tax Registration (GDT): You must finalize registration with the General Department of Taxation (GDT) via the CamDX system to obtain your Tax Identification Number (TIN). You will also register for Value Added Tax (VAT) if your expected revenue meets the threshold.
- Corporate Bank Account: It is mandatory to open a corporate bank account and deposit the minimum paid-up capital. Keep in mind that you must submit a bank statement confirming the paid-up capital deposit within 15 days of receiving your Certificate of Incorporation.
Legalization and Seals
Cambodian corporate regulations mandate you must have an official company seal following the MoCs prescribed format. The company seal serves as the official mark of your company and is required on important documents such as contracts, invoices, and official correspondence.
The Articles of Incorporation and Certificate of Incorporation must be registered with the MoC’s Department of General Affairs. This process ensures that the company is officially recorded in government records and complies with administrative rules.
Labour and Social Security Compliance
If you are hiring employees for your newly-established company in Cambodia, you need to comply with registrations set by the local labor code. These include the following:
- Declaration of Enterprise Opening: Submit a written declaration to the Ministry of Labour and Vocational Training (MLVT) before operations begin. This establishes your company’s legal status as an employer and initiates its relationship with the MLVT.
- NSSF Registration: Companies with at least one employee must register with the National Social Security Fund (NSSF) and submit monthly contributions/reports by the 15th of the following month.
- LACMS Registration: Obtain an online account on the Labour Centralised Management System (LACMS) for ongoing compliance (declaring staff movement, obtaining enterprise/labour books).
- Shop Steward Election: Mandatory for companies with eight or more employees. An employee must be elected to represent the staff and registered with the MLVT. Facilitates communication between management and employees and is a legal requirement for organized workplaces.
