Have at least one shareholder
You only need one shareholder to start a company in Cambodia. This can be an individual or a legal entity, and foreign shareholders are allowed 100% ownership in most sectors.
Secure a registered business address

Minimum capital requirement
You’ll need to declare a minimum capital of KHR 4 million (approx. USD 1,000). This amount must be deposited into your Cambodian corporate bank account within 15 working days of receiving your Certificate of Incorporation.
At least one Director and Company Secretary (Local Resident)
Setting up a company in Cambodia requires you to appoint at least one director who can be a foreigner and does not need to reside in the country. Additionally, a company secretary must also be appointed. This individual must be a resident of Cambodia.

Business Name Reservation
To register a company in Cambodia, the first step is to reserve a unique company name with the Ministry of Commerce (MoC). The name must be in both Khmer and English, with the Khmer version displayed more prominently on official documents.
