Terms And Conditions – Virtual Office

1. SERVICE HOURS

Business hours are from 08:30 AM to 05:30 PM, Monday to Friday, excluding public holidays.

2. SERVICE FEES & PAYMENT

  1. Pre-payment Policy: The Service Fee for the selected package must be paid in full, in advance. The Service Period will not commence until funds are successfully received by EMERHUB.
  2. Payment Methods: Payments may be made via credit card or bank transfer. The Client shall bear all applicable bank charges or transaction fees.
  3. Automatic Acceptance: By remitting payment, the Client is deemed to have read, understood, and fully agreed to these Terms & Conditions.

3. MAIL HANDLING POLICY

  1. Authorized Agent Status: The Client acknowledges that EMERHUB acts as the authorized agent to receive mail (including registered, insured, court, and certified items) only while the Client maintains an active, fully paid Virtual Office membership.
  2. Notification: EMERHUB will notify the Client of incoming mail received during an active service period.
  3. Collection & Storage:
    • Identification is required for self-collection.
    • Mail is retained for 30 days from the notification date.
    • After 30 days, EMERHUB reserves the right to discard, destroy, or return to sender any uncollected items at its sole discretion.
  4. Forwarding: Mail may be forwarded upon request, provided a forwarding address is supplied and all postage/handling fees are paid in advance.
  5. Rejection of Mail: If the Client refuses to accept a package, or if the account is suspended, EMERHUB reserves the right to return the item to the sender at the Client’s expense.

4. STRICT VALIDITY & RENEWAL

  1. Service Period: The service is valid for 12 months calculated strictly from the date EMERHUB receives full payment.
  2. No Retroactive Service: If payment is delayed, the Service Period begins upon receipt of funds. No mail handling services will be provided for the gap between the invoice date and the payment date.
  3. Expiration: Upon expiration of the Service Period, membership becomes inactive immediately unless formally renewed and paid.

5. CONSEQUENCES OF NON-PAYMENT & UNAUTHORIZED USE OF ADDRESS

Please read this section carefully. It affects your legal standing.

  1. Requirement to Deregister: Upon termination or expiration of the Service Period, the Client must immediately remove the EMERHUB address from all government records (e.g., Business Registry/ACRA/Tax Authority), websites, and marketing materials.
  2. Constructive Renewal (“Holding Over”): As long as the Client continues to utilize the EMERHUB Virtual Office address as their registered address on any legal, government, bank, or official document, the Client is deemed to be actively using the service. The Client is liable for the full renewal fee plus a 10% administrative penalty for this unauthorized usage.
  3. Suspension of Mail Handling: While the Client remains liable for fees during this “Holding Over” period, EMERHUB is under no obligation to process, store, or notify the Client of incoming mail until all outstanding debts are settled.
    • Action on Mail: During any unpaid or expired period, EMERHUB reserves the right to immediately return all mail to the sender (including government and court documents) marked as “Recipient Not Authorized at this Address” or “Service Suspended.”
  4. Liability Waiver: EMERHUB assumes zero liability for any fines, penalties, legal judgments, missed court dates, or business losses resulting from mail that was rejected, returned, or destroyed due to the Client’s failure to maintain an active, paid membership. The Client agrees to indemnify EMERHUB against any claims arising from such service suspension.

6. TERMINATION

EMERHUB reserves the right to terminate the Agreement immediately if:

  1. Fixed or variable charges become past due;
  2. The Client engages in harassment or abusive conduct toward EMERHUB staff or other clients;
  3. The address is used for unlawful, illegitimate, or fraudulent purposes;
  4. The volume of mail received is unreasonable (constituting a physical shipping operation rather than a virtual office).

Post-Termination Protocol: Upon termination, if the Client fails to provide proof of address change (deregistration), EMERHUB reserves the right to report the Client to the relevant government registry authorities as “No Longer at this Address,” which may result in the striking off of the Client’s company by the authorities.
