Learn moreThailand limits foreign shareholding in many sectors under the Foreign Business Act. There are legal routes to majority or full ownership, and we recommend the right one for your activity and nationality.
For promoted activities like manufacturing, technology, and digital services, the Board of Investment allows up to 100% foreign ownership, plus corporate tax holidays of up to 13 years and easier work permits.
US citizens and US-owned companies can hold majority or full ownership in most sectors under the Treaty of Amity, treated much like a Thai company.
Where BOI and the treaty do not apply, a Foreign Business License from the Ministry of Commerce can permit majority foreign ownership in a restricted activity.
For many service and trading businesses, a properly structured Thai majority company is the practical route. We set it up the legal way and never use illegal nominee shareholders.
Every Emerhub client gets our Entity Management System. It runs your incorporation, keeps your corporate documents in one place, and tracks the compliance deadlines so nothing is missed, for your Thai company and every other entity you hold with us across the region.

Tell us your activity and nationality and we recommend the ownership route, whether that is BOI, the Treaty of Amity, a Foreign Business License, or a Thai majority company, and the capital you will need.
We reserve the name, prepare the memorandum and articles, hold the statutory meeting, and register the company with the Department of Business Development.
Where you need it, we prepare and file the BOI application or the Foreign Business License, and handle the approvals your activity requires.
We register for tax and VAT, open the corporate bank account, and arrange the work permits and visas for your foreign staff.
What a Thai company pays, and what it has to file.
Corporate income tax is 20%. Small companies pay less on a progressive scale, and BOI-promoted companies can be exempt from corporate tax for up to 13 years. VAT is 7%, and you register once turnover passes THB 1.8 million. Withholding tax applies to certain payments.
Every company keeps accounts in Thailand, files monthly and annual returns, and submits audited financial statements each year. We handle the bookkeeping, payroll, VAT, and the filings, and keep your BOI reporting in order if you are promoted.

What foreign founders ask before they set up.
In many sectors the Foreign Business Act caps foreign shareholding at 49%. Full or majority foreign ownership is still possible through BOI promotion, the US Treaty of Amity for American investors, or a Foreign Business License. Manufacturing is generally open to full foreign ownership. We confirm the route that fits your activity before you commit.
The Board of Investment promotes activities such as manufacturing, technology, digital services, and research. A promoted company can hold up to 100% foreign ownership and receive corporate tax holidays of up to 13 years, import duty relief, land ownership for industrial projects, and easier work permits. We assess eligibility and handle the application.
The Treaty of Amity lets US citizens and US-owned companies hold majority or full ownership of a Thai company and operate much like a Thai business. A few sectors, such as communications and transport, stay excluded. We prepare the certification with the US Commercial Service and the Foreign Business Certificate.
A Thai limited company needs at least two shareholders and at least one director, who can be any nationality. You also need a registered office in Thailand. We handle the name reservation, the memorandum and articles, the statutory meeting, and the registration with the Department of Business Development.
There is no general minimum for a Thai-owned company, but to sponsor a foreign work permit you generally need THB 2 million of registered capital per foreigner, and a restricted business under a Foreign Business License needs at least THB 3 million. We size the capital to match your licensing and visa plans.
No. Using Thai nominee shareholders to fake majority ownership breaks the Foreign Business Act and puts your company at serious risk. We structure ownership the legal way, through BOI, the Treaty of Amity, a Foreign Business License, or a genuine Thai partnership.
Yes. As your importer of record we bring goods into Thailand without you setting up an entity, and we act as the local license holder for product registration with the Thai FDA. This lets you sell and import in regulated categories while we hold the local representative role on your behalf.
