Yes. In Singapore the two terms describe the same role. Company secretarial and corporate secretarial services both cover the company’s records, decisions and statutory filings with ACRA.
Only if you are not the sole director. A company with one director needs someone else as secretary. Where a company has more than one director, a director can also act as secretary if they live in Singapore and meet ACRA’s requirements.
Yes. Being dormant does not remove the company secretary requirement. A company that stays live on ACRA’s register must also keep filing annual returns, even with no business activity or an IRAS tax-filing waiver.
Yes. The change needs the right appointment and cessation documents, and ACRA must be updated within 14 days. Before arranging a transfer, check your current provider’s notice period, outstanding fees and document handover arrangements.
No. A private company can dispense with AGMs by resolution of its members, and a private company that sends its financial statements to members within five months of its year end is exempt. We confirm which applies to you and prepare the documents.
Accounting and tax are separate services. Your annual return to ACRA is also separate from your tax return to IRAS. We can discuss these services together and set out what is included in your engagement.
Yes. Directors keep their legal responsibilities. You still need to provide accurate information, approve the relevant documents and meet your duties as a director.
