Transitioning from a Representative Office to a PT PMA in Indonesia

If your representative office in Indonesia has reached the point where you need to sign local contracts, invoice clients, or hire and operate more fully, a KPPA is no longer enough.

The next step is usually to establish a PT PMA. You cannot convert the representative office into the new company, so the transition has to be planned: set up the PT PMA first, move the people, contracts, and assets across, and only then close the KPPA.

In this article, we will walk you through the PT PMA requirements and how to manage that transition without disrupting your operations.

Can a Representative Office Convert into a PT PMA?

Under the current regulations, it's not possible to directly convert an existing representative office (KPPA) into a PT PMA. A KPPA is an extension of its foreign parent rather than a separate Indonesian limited liability company. It has its own Business Identification Number (NIB) and tax registration, but it does not have shareholders or share capital in the way a PT PMA does.

In contrast, a PT PMA is a separate Indonesian legal entity, so it needs its own incorporation, corporate structure, NIB, tax registration, and business licenses.

The KPPA can still help prepare the transition. Preparing the establishment and development of a foreign investment company falls within the permitted scope of a representative office, so your local team can continue handling the groundwork while the PT PMA is being established.

For more on what the structure can and cannot do, see our guide to KPPA representative offices in Indonesia.

The same general principle applies to a foreign trade representative office, or KP3A, although its licensing and permitted activities are different. Our KP3A guide explains that structure separately.

PT PMA Requirements

The new PT PMA must meet Indonesia's foreign investment requirements.

RequirementWhat it involves
ShareholdersA standard PT PMA has at least two shareholders, which can be individuals or companies. The foreign parent can be one of them.
BoardAt least one director and one commissioner.
Investment valueGenerally more than IDR 10 billion per 5-digit KBLI business code per project location, excluding land and buildings, subject to sector-specific exceptions.
Paid-up capitalAt least IDR 2.5 billion in issued and paid-up capital per PT PMA, unless another rule requires more.
Capital retentionThe paid-up capital is subject to a 12-month retention requirement, although it can be used for qualifying asset purchases, construction, and company operations.
Business activitiesEach KBLI code must permit your proposed level of foreign ownership and the company must obtain the licences required for that activity.
Business addressThe address must be suitable for the company's activities and satisfy the applicable location requirements.

The IDR 10 billion investment value and the IDR 2.5 billion paid-up capital requirement are separate. The first is the planned investment attached to the relevant KBLI and project location, while the second is the minimum issued and paid-up capital of the PT PMA itself.

Before incorporating, check whether the planned KBLI codes allow your intended foreign ownership. Our Indonesia Positive Investment List overview explains how the ownership restrictions work.

For the incorporation process itself, see our PT PMA setup guide.

Can the Chief Representative Become a Director?

Not while that person remains the head of the KPPA.

The head of a KPPA cannot concurrently serve as a director of an Indonesian company. If you want the Chief Representative to become a director of the PT PMA, plan the handover before the appointment takes effect.

One option is to appoint another person as director during the transition and change the board after the KPPA appointment ends. Alternatively, you can replace the Chief Representative at the KPPA first.

Steps to Transition from a Representative Office to a PT PMA

The safest approach is usually to keep the KPPA active until the PT PMA has the licences, employees, immigration sponsorship, and contracts it needs to operate on its own.

Closing the representative office too early can create avoidable gaps, particularly where the KPPA currently sponsors foreign employees or holds the office arrangements used by the local team.

1. Incorporate the PT PMA

The process starts by establishing the new Indonesian legal entity. A notary prepares the deed of establishment, after which the Ministry of Law approves the company.

Once the PT PMA exists legally, you can complete its registration through the Online Single Submission (OSS) system, obtain its NIB and tax registration, and open the corporate bank account. The shareholders then complete the required capital placement.

Incorporation does not necessarily mean the company can start operating immediately. The next step is making sure the PT PMA has the licences required for its registered activities.

For the complete setup process, see our Indonesia company registration service.

2. Obtain the Required Business Licences

Indonesia uses risk-based licensing, so the approvals required depend on the risk classification of each KBLI activity registered by the PT PMA.

For low-risk activities, the NIB can be enough to operate. Medium-risk and high-risk activities require additional standard certificates or licences, with the level of government verification increasing with the risk level.

That distinction matters when planning the transition. The date the PT PMA is incorporated is not necessarily the date it can take over the KPPA's activities, so plan the operational move around when the required licences are actually in place.

3. Move Your Local Employees

The PT PMA becomes a new employer, which means it needs its own employment and social-security setup. Employees moving to the company need to be enrolled under the PT PMA for BPJS Ketenagakerjaan and BPJS Kesehatan.

Employment does not transfer automatically simply because the foreign parent remains the same. One option is to end the employment relationship with the KPPA and settle the employee's entitlements. Another is to document the move to the PT PMA with the employee's agreement and clearly address how previous service and accrued rights will be treated.

If previous service is recognised, record that in the new employment documents because it can affect future employment liabilities.

For the ongoing employer side, our Indonesia payroll service covers BPJS, payroll tax, THR, final pay, and monthly payroll compliance.

4. Move Your Foreign Employees

Foreign employees sponsored by the KPPA also need their employment and immigration sponsorship moved to the PT PMA.

For employees, the PT PMA generally needs an approved Foreign Worker Utilisation Plan (RPTKA) for the relevant role and must pay the applicable foreign-worker levy. The immigration process then depends on the employee's existing status and whether the case can be handled through a sponsor change or requires a new permit under the PT PMA.

Do not cancel the KPPA sponsorship before you know which route will be used for each employee. Otherwise, you can create a period where the employee no longer has the immigration status needed to remain or work under the existing structure.

Our current Work KITAS guide explains the requirements for foreign employees sponsored by an Indonesian company.

If the person is also a qualifying shareholder and director or commissioner of the PT PMA, the immigration route may instead be an Investor KITAS.

5. Transfer Contracts and Assets

Agreements used by the KPPA do not automatically become contracts of the PT PMA.

For example, an office lease, supplier agreement, or service contract can be transferred through a novation where the other party agrees. In other cases, it may be simpler to sign a new contract directly with the PT PMA.

The same applies to assets. Equipment, furniture, and vehicles used by the KPPA generally belong to the foreign parent rather than to a separate Indonesian legal entity.

The parent can sell qualifying assets to the PT PMA with appropriate documentation or, in some cases, contribute assets as non-cash share capital. Non-cash contributions need to meet the valuation requirements under Indonesia's Company Law, so review the legal and tax treatment before transferring them.

6. Close the Representative Office

Close the KPPA only after the PT PMA can take over the operation.

Before applying for revocation, settle the KPPA's remaining payroll, employee obligations, taxes, contracts, and final investment reporting. The closure application also requires confirmation that the KPPA has no outstanding debts or receivables with other parties in Indonesia and documentation from the foreign parent confirming the closure.

The investment registration is then revoked through OSS. However, closing the OSS registration is only one part of the process.

The KPPA must also deregister its tax number. Tax deregistration can take considerably longer than the OSS revocation because the tax authority reviews the taxpayer's position before approving the deletion.

For that reason, treat the closure as a process rather than a single filing. Keep the necessary records, bank arrangements, and responsible personnel available until the tax and administrative matters are complete.

What Changes After You Move to a PT PMA?

The biggest change is that you move from a non-commercial representative structure to an Indonesian operating company. That affects investment reporting, corporate governance, employment administration, and tax.

Investment Activity Reports

A PT PMA submits an Investment Activity Report, or LKPM (Laporan Kegiatan Penanaman Modal), every quarter through OSS.

The current reporting deadlines are:

Reporting periodDeadline
Q1: January-March15 April
Q2: April-June15 July
Q3: July-September15 October
Q4: October-December15 January

The report covers investment realisation, workforce data, business activity, licensing compliance, and other investment obligations.

Our current LKPM reporting guide covers the deadlines, required information, and filing process.

Corporate Governance

A PT PMA also takes on the corporate-governance obligations of an Indonesian limited liability company.

The directors must prepare the annual report and submit it to the General Meeting of Shareholders after review by the Board of Commissioners. The annual GMS is held within six months after the financial year ends.

The approval of the annual report must then be recorded in a notarial deed and filed through the Ministry of Law's Legal Entity Administration System within the applicable deadline.

The company should also keep its shareholder, board, and beneficial-ownership information current as part of its ongoing corporate administration.

Tax

A KPPA cannot conduct local commercial transactions, but it still has Indonesian tax compliance obligations while it operates.

Once you move to a PT PMA, the company becomes an Indonesian operating taxpayer. The standard corporate income tax rate is 22% on taxable profit, while qualifying companies with annual turnover up to IDR 50 billion can receive a partial reduction.

Once taxable turnover exceeds IDR 4.8 billion, the PT PMA must also register as a taxable entrepreneur, or PKP, for VAT purposes. A company below the threshold can choose to register voluntarily.

The PT PMA will also have ongoing withholding-tax, payroll-tax, VAT, accounting, and annual corporate-tax obligations.

For an overview of how these taxes work together, see our PT PMA tax compliance guide. For filing deadlines, our Indonesia tax reporting guide covers the monthly and annual cycle.

Frequently asked questions

Can I convert my representative office into a PT PMA?

Indonesia does not provide a conversion process from a KPPA into a PT PMA because they are fundamentally different structures. You need to establish a new PT PMA, move the operation into the new company, and then close the KPPA.

Can the Chief Representative become a director of the PT PMA?

Yes, but not while that person is still serving as the head of the KPPA. If you want the same person to become director, plan the board change around the end of the KPPA appointment.

How much capital does a PT PMA need?

A PT PMA generally needs an investment plan of more than IDR 10 billion per 5-digit KBLI code per project location, subject to sector-specific exceptions. The minimum issued and paid-up capital is IDR 2.5 billion per company unless another regulation sets a higher amount. The paid-up capital is subject to a 12-month retention rule, although it can be used during that period for qualifying assets, construction, and company operations.

Should I close the KPPA before setting up the PT PMA?

Keeping the KPPA active while the PT PMA is established reduces the risk of gaps in employee sponsorship, office arrangements, and ongoing administrative obligations. Close the KPPA after the new company has the licences and operating arrangements it needs to take over.
