Route 1: Set Up Your Own Philippine Corporation
A domestic corporation is the standard structure for a foreign company that wants to own its Philippine operation. Because selling consumer goods to the public counts as retail trade, the Retail Trade Liberalization Act (RTLA) sets the ownership conditions. For 100% foreign ownership, you need to meet either criteria:
- Minimum paid-up capital of PHP 25 million (~USD 450,000), or
- Be majority Filipino-owned. This means 60% of your company must be owned by Filipinos.
If you decide to be majority Filipino-owned, the shareholding structure must be genuine. The Anti-Dummy Law (Commonwealth Act No. 108) criminalizes arrangements where Filipino shareholders front ownership that a foreigner actually controls. You must have a well-defined shareholder’s agreement with a real partnership and economic participation.

The distributor imports your products, registers them with the FDA under its own license, and operates the TikTok shop. Each product variant (including different flavors, sizes, or formulations) requires a separate CPR. Products must also carry compliant labels stating ingredients, nutritional information, allergen warnings, and expiry dates.

How to Register on TikTok Shop Philippines
Before you can register on TikTok Shop, your business must already be legally incorporated and fully compliant in the Philippines. This includes SEC registration, BIR registration, and your Mayor's Permit. TikTok Shop will not approve your seller account without these in place.

To register your TikTok shop, you need to create an account with the TikTok Seller platform. You will need a phone number or email address that has not been used on another TikTok Shop account, and a password between 6–20 characters containing letters, numbers, and special characters.

TikTok Shop Philippines has three seller categories:

TikTok Shop pays out to a Philippine business bank account. Supported banks include BPI, BDO, Metrobank, UnionBank, and CIMB. The account name must match your registered business name exactly.
Revenue Regulations No. 16-2023, imposes a creditable withholding tax of 1% on one-half of the gross remittances made by e-marketplace operators (such as TikTok Shop) to sellers. This effectively results in a 0.5% on total gross remittances. This only applies once you have received more than PHP 500,000 within the taxable year (or total gross remittance in the prior taxable year). This regulation exempts smaller sellers from any withholding.
Under Revenue Regulations No. 16-2023, TikTok Shop withholds 1% on gross seller remittances exceeding PHP 500,000 annually. Your BIR registration and tax settings must reflect this obligation from the outset.
Step 5: Build Your Shop Profile and Configure Logistics
With verification approved, you can set up your shop name, profile image (400x400px), shop description, return and refund policies, and customer service settings. TikTok Shop Philippines integrates with J&T Express, Ninja Van, LBC, and Shopee Express. Enabling cash-on-delivery (COD) is strongly recommended since it is the dominant payment method among Filipino online shoppers.
