How foreigners own a company in Thailand

Thailand limits foreign shareholding in many sectors under the Foreign Business Act. There are legal routes to majority or full ownership, and we recommend the right one for your activity and nationality.

BOI promotion

For promoted activities like manufacturing, technology, and digital services, the Board of Investment allows up to 100% foreign ownership, plus corporate tax holidays of up to 13 years and easier work permits.

US Treaty of Amity

US citizens and US-owned companies can hold majority or full ownership in most sectors under the Treaty of Amity, treated much like a Thai company.

Foreign Business License

Where BOI and the treaty do not apply, a Foreign Business License from the Ministry of Commerce can permit majority foreign ownership in a restricted activity.

Initial consultation

What a Thai company pays, and what it has to file.

Corporate income tax is 20%. Small companies pay less on a progressive scale, and BOI-promoted companies can be exempt from corporate tax for up to 13 years. VAT is 7%, and you register once turnover passes THB 1.8 million. Withholding tax applies to certain payments.

Every company keeps accounts in Thailand, files monthly and annual returns, and submits audited financial statements each year. We handle the bookkeeping, payroll, VAT, and the filings, and keep your BOI reporting in order if you are promoted.

Capital and work permits go together. To sponsor a foreign work permit, a Thai company generally needs THB 2 million of registered capital per foreigner, along with a ratio of Thai employees on staff. We size the capital correctly so your visas are not held up.

What foreign founders ask before they set up.

Can a foreigner own 100% of a company in Thailand?

In many sectors the Foreign Business Act caps foreign shareholding at 49%. Full or majority foreign ownership is still possible through BOI promotion, the US Treaty of Amity for American investors, or a Foreign Business License. Manufacturing is generally open to full foreign ownership. We confirm the route that fits your activity before you commit.

What is BOI promotion and who qualifies?

The Board of Investment promotes activities such as manufacturing, technology, digital services, and research. A promoted company can hold up to 100% foreign ownership and receive corporate tax holidays of up to 13 years, import duty relief, land ownership for industrial projects, and easier work permits. We assess eligibility and handle the application.

What is the US-Thailand Treaty of Amity?

The Treaty of Amity lets US citizens and US-owned companies hold majority or full ownership of a Thai company and operate much like a Thai business. A few sectors, such as communications and transport, stay excluded. We prepare the certification with the US Commercial Service and the Foreign Business Certificate.

How many shareholders and directors does a Thai company need?

A Thai limited company needs at least two shareholders and at least one director, who can be any nationality. You also need a registered office in Thailand. We handle the name reservation, the memorandum and articles, the statutory meeting, and the registration with the Department of Business Development.

How much registered capital do I need in Thailand?

There is no general minimum for a Thai-owned company, but to sponsor a foreign work permit you generally need THB 2 million of registered capital per foreigner, and a restricted business under a Foreign Business License needs at least THB 3 million. We size the capital to match your licensing and visa plans.

Are Thai nominee shareholders allowed?

No. Using Thai nominee shareholders to fake majority ownership breaks the Foreign Business Act and puts your company at serious risk. We structure ownership the legal way, through BOI, the Treaty of Amity, a Foreign Business License, or a genuine Thai partnership.
